Real Estate Acquisitions and Dispositions: We represent commercial and residential buyers and sellers in connection with the purchase, sale, development and management of real property. Services include the drafting, reviewing and negotiation of the purchase contract, coordination of due diligence activities, preparation of closing documents, review of survey and title work, review and negotiation of financing documents and the issuance of title insurance.
Real Estate Financing: We represent lenders (both private and institutional) and borrowers in all aspects of real estate financing transactions. On behalf of lenders, we draft and negotiate the loan documents evidencing the transaction, order and review surveys, review title work documents and address all title issues, close the transaction and issue title insurance to the lender. On behalf of borrowers, we review and negotiate financing documents, review the survey and title insurance documents, and otherwise coordinate with the lender to ensure a quick and properly documented closing. We are very responsive to the client's needs, and recognize the need to quickly and properly close real estate transactions.
Asset-Based Financing: We represent lenders and borrowers in connection with stock secured, receivables and equipment financing transactions, as well as letters of credit.
Real Estate Litigation: We litigate all matters related to real property, including contractual disputes, boundary disputes, title insurance claims, appointment of receivers and foreclosure proceedings.
Leases: We draft and negotiate ground leases, simple and complex residential and commercial leases for single occupancy or multiple occupancy properties.
Landlord/Tenant: We represent and advise landlords and tenants in connection with evictions, rent and lease disputes.
Retail Banking: We draft agreements commonly utilized in retail banking, including Remote Deposit Capture Services Agreements, Internet Banking Agreements, Escrow Agreements and Wire Transfer Services Agreements.
Title Insurance: As a title agent, we issue mortgagee policies and owner’s policies in connection with real estate purchases, sales and financing.
Complex Loan Workouts: We draft, on behalf of lenders and borrowers, simple and complex agreements related to the workout of an existing loan or multiple loans. We are experienced at providing creative and innovative solutions to the issues commonly arising during the workout of a defaulted loan or loans. In addition to negotiating solutions to problem loan relationships, we draft agreements setting forth the terms and provisions of such solutions, including but not limited to deed-in-lieu of foreclosure agreements, forbearance agreements, loan modification documents, settlement agreements and litigation documents.
Homeowner's Associations/Condo Associations: We represent and advise homeowner's associations and condominium associations in regards to the drafting of and enforcement of covenants, conditions and restrictions, as well as the collection of assessments (including filing liens and foreclosing such liens).
Construction Matters: We represent developers and contractors in connection with contractual issues, construction liens and collection matters.
Civil Litigation: Contractual disputes, business partnership disputes, collections.
Corporate: Formation of legal entities (corporations, limited liability companies, partnerships, joint ventures).
